The item described above is sold "AS IS, WHERE IS," with all faults, and without warranty of any kind, either express or implied, including but not limited to any implied warranty of merchantability or fitness for a particular purpose. Buyer has had the opportunity to inspect the item and accepts it in its present condition. Seller makes no representation as to the condition of the item except as expressly stated in this document.

Where each part does work

• "As is, where is" — the buyer takes the item in its current condition and at its current location. Transport and any post-sale repair are the buyer's responsibility.
• "With all faults" — covers defects that neither party knew about at the time of signing, not only the ones discussed.
• "Express or implied" — addresses both spoken promises and the warranties that would otherwise be read into a sale by default.
• "Opportunity to inspect" — records that the buyer could examine the item before paying, which is the factual basis the rest of the clause rests on.

When each side wants it

Sellers use it in private sales because they are not dealers, are not equipped to stand behind a repair, and want the transaction closed when the item leaves. It is standard on used cars, boats, equipment, and anything with mileage or hours on it.

Buyers should read it as a prompt rather than a red flag. It tells you that the inspection is on you: look at the item, take a test drive, and if the item is valuable, pay for a professional inspection before signing. Once you sign under the clause, "it broke a week later" is not a shared problem.

Adding a narrow exception

As-is is not all-or-nothing. Parties frequently agree to one specific carve-out — a stated short-term arrangement on a single component, or a condition tied to something being delivered later. Write it immediately after the clause, in plain language, and keep it narrow so the two paragraphs do not contradict each other. The generator has an exceptions field for exactly this.

One thing an as-is clause does not do: excuse a false statement of fact. Describing the item accurately — the mileage, the identification number, known faults — is what makes the document worth having for both sides.
