What is an as-is bill of sale?
Sample as-is clause wording
A standard, defensible as-is clause reads: "The item described above is sold AS-IS, WHERE-IS, with all faults, and without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Buyer accepts the item in its present condition and acknowledges that Buyer has had the opportunity to inspect the item prior to purchase." Copy that verbatim, or use Solda's template — the same clause is included automatically.
Why the exact wording matters
State laws imply certain warranties in most sales — that the item works, that it's fit for its purpose. The as-is clause explicitly disclaims those implied warranties. Without the clause (or without clear enough language), a buyer can sometimes come back weeks later claiming the item wasn't as described. The clause above disclaims both the implied warranty of merchantability and the implied warranty of fitness — the two most commonly cited by unhappy buyers.
When to use it
Every private-party sale of used property — cars, motorcycles, boats, trailers, ATVs, tools, furniture, livestock. Any time you're not a dealer offering a warranty. If you are offering a limited warranty (e.g., the engine runs at time of sale, or the boat's motor is under a 30-day warranty), don't use an as-is clause — instead, spell out exactly what's covered and for how long.
As-is doesn't cover fraud
An as-is clause protects the seller from claims about the item's condition, but it does not protect against misrepresentation. If you say the odometer reading is 40,000 and it's actually been rolled back from 240,000, that's fraud regardless of the as-is line. Represent the item accurately and the as-is clause does its job.
